Photo Submission

By submitting your photo to Taylor's Mosaic, The Face of Devotion ("the Company") for the purpose of creating a larger image to be formed into a non-fungible token (NFT), you hereby agree to the following terms and conditions:

1. Eligibility: You represent that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are under 18 years old, you affirm that you have obtained the necessary consent from your parent or legal guardian to participate and submit your photo.

2. Ownership and Rights: You acknowledge that you are the sole owner of the submitted photo, and you have the legal right, permission, and authority to grant the Company the license and rights outlined in this agreement.

3. License Grant: By submitting your photo, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, distribute, display, modify, and create derivative works of your photo for the purpose of incorporating it into the larger image that will be formed into an NFT.

4. Permissible Content: You agree to submit only photos of yourself and ensure that the content of the photo complies with all applicable laws, regulations, and the terms of this agreement. The Company reserves the right, in its sole discretion, to reject or remove any photo that it deems inappropriate, offensive, or inconsistent with its policies.

5. Confidentiality: The Company acknowledges that the submitted photo may contain personal and private information. The Company agrees to handle such information with utmost care and will not disclose, sell, or otherwise make it available to any third party without your prior consent, except as required by law.

6. Indemnification: You agree to indemnify and hold the Company harmless from any claims, damages, liabilities, costs, or expenses arising out of or in connection with your submission of the photo, including any infringement of intellectual property rights, privacy rights, or any other rights of a third party.

7. No Compensation: You acknowledge that you will not receive any compensation, financial or otherwise, for the submission of your photo or its inclusion in the larger image forming the NFT, except as expressly stated in a separate agreement, if applicable.

8. Limitation of Liability: The Company will not be liable to you or any third party for any direct, indirect, incidental, consequential, or punitive damages arising out of or in connection with the submission of your photo or the use of the larger image as an NFT.

9. Entire Agreement: This legal disclaimer constitutes the entire agreement between you and the Company regarding the submission of your photo and supersedes all prior agreements, understandings, or representations, whether written or oral.

10. Governing Law: This agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising out of or in connection with this agreement shall be submitted to the exclusive jurisdiction of the courts in the United Kingdom.

By submitting your photo, you acknowledge that you have read, understood, and agreed to the terms and conditions of this legal disclaimer.

To produce a high resolution, mosaic of 60 X 60 photographs with a clear image, requires a total of 3,600 individual photographs. If this number is not received within a reasonable timeframe (6 weeks maximum) the a mosaic will be made up of some repetitions of some photographs, depending on color and shading required. The number of NFTs will then be restricted to the amount of people who submitted the photographs. If insuffiecient photos are received to make a clear image without too many repetitions then the project will be cancelled and all photographs will be deleted.
